EdgeQX-R MES Program Subscription Agreement


This EdgeQX-R MES Program Subscription Agreement (the "Agreement") is entered into by and between  , hereinafter referred to as the "Customer," and Edge Clear LLC, hereinafter referred to as the "Company."

Program Details:

  1. Program Name: The program covered by this Agreement is referred to as "EdgeQX-R MES".
  2. Subscription Fee: The Customer agrees to an annual subscription fee of US$990.00 to access the EdgeQX-R MES program. The fee is collected quarterly and is due in full.
  3. Payment Method: The subscription fee will be debited from the Customer's trading account, maintained with the Company or its authorized affiliates.
  4. The performance of the program reflects the cost of the subscription and all other costs as required by regulations.

Terms and Conditions:

  1. No Refunds: The subscription fee is non-refundable under any circumstances, including termination or cancellation of this Agreement.
  2. Cancelling EdgeQX-R: The customer agrees that the remaining annual fee, if any, will be charged if EdgeQX-R MES is terminated before the yearly renewal date.
  3. Prohibition of Personal Trading: During the term of this Agreement, the Customer acknowledges and agrees that they shall not engage in personal trading on the account linked to the EdgeQX-R MES program. Any personal trading in the account is strictly prohibited and shall immediately terminate the customer’s participation in EdgeQX-R MES.

General Provisions:

  1. Term: This Agreement shall be effective upon acceptance by the Customer and shall continue for an initial term of one year from the date of acceptance. The Agreement will automatically renew for successive one-year terms unless either party provides written notice of termination at least 30 days before the end of the current term.
  2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflicts of law principles.
  3. Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

IN WITNESS WHEREOF, the parties hereto have executed this EdgeQX-R MES Program Subscription Agreement as of the date first above written.
